TERMS OF USE - NSANIA

Definitions. "Nsania" or the "Platform" means the applicant tracking system (ATS) and related modules tied to the integrated job board, including job distribution, career sites, application intake and processing, pipeline management, candidate communications, interview scheduling, reporting, API and integrations. The "Company" means Isarta Inc., owner of the "Nsania" trademark. "Client" means the entity subscribing to the Services and its "Authorized Users" (recruiters, managers, administrators). "Candidate" means any person who creates a candidate account and/or whose data are processed through the Platform (on nsania.com and isarta.com).

1. Acceptance of Terms

By accessing or using the Platform, you agree to these Terms. If you use Nsania on behalf of an organization, you represent that you have the required authority. We may update these Terms at any time; continued use constitutes acceptance of the revised version.

2. Description of Services

Nsania provides ATS features and an integrated job board (with candidate tools). Candidates can browse jobs, create a candidate account to be discoverable or not by potential recruiters, submit resumes and other relevant documents, and subscribe to job alerts and newsletters. Depending on the plan and settings, Clients can post jobs, receive and process applications, search profiles (CV database), communicate with candidates, schedule interviews, and track metrics.

Some features include the use of artificial intelligence tools. Depending on configuration, certain functions rely on AI and others are optional. In all cases, these tools assist the process and do not replace appropriate human review. See the "AI Tools" section.

2.1 Application Transmission and Neutrality

When a Candidate applies via the Platform, the application is transmitted to the employer through the channels configured by the employer; a courtesy copy may be sent to the Candidate. We do not guarantee receipt, reading or understanding of an application by the employer. Pre-screening questions and evaluation criteria are set by the employer, under its sole responsibility. As a precaution, Candidates should verify the identity of recipients before sharing information.

An application once submitted cannot be altered afterwards via the Platform; however, the Candidate may submit again or contact the employer directly.

2.2 Job Distribution and Sponsoring

Jobs posted via Nsania may be automatically distributed to partner platforms under their respective terms. When sponsoring is included, visibility is managed and optimized by Nsania. However, Nsania does not control or guarantee inclusion, ranking, or display duration on independent third-party services.

3. Accounts, Security and Access

  • The Client is responsible for creating user accounts, assigning roles, and safeguarding credentials.
  • Candidates are responsible for the accuracy of submitted information and the security of their credentials.
  • We may suspend or terminate access in case of security risk, abuse, non-payment or breach of these Terms.
  • Email verification may be required to activate an account.

4. Permitted and Prohibited Use

The Platform must be used in a professional recruiting context. It is prohibited, among other things, to distribute illegal, misleading, defamatory, discriminatory or obscene content; to attempt to compromise security; to overload the service; to extract data at scale without a lawful basis; to impersonate others; to send spam or communications without required consent; or to publish content that infringes intellectual property rights.

  • Candidate obligations. Provide accurate, up-to-date information; do not include sensitive data without a lawful basis; respect the confidentiality of communications and evaluations; do not use the Platform for unsolicited commercial prospecting.
  • Client obligations. Configure the Platform in compliance with applicable law; determine the lawful basis for communications; comply with rules on non-discrimination, fairness and confidentiality of applications.

Candidates: do not include so-called sensitive data (e.g., racial or ethnic origin, political opinions, religious beliefs, health data, sexual orientation) in your resumes, answers or attachments unless required by law and supported by a valid lawful basis. Ensure your references have consented to share their contact details.

5. Content and Rights

"Client Data" (jobs, settings, pipelines, internal ratings) and "Candidate Data" (resumes, answers, messages, histories) belong to the Client and/or the data subjects in accordance with applicable laws. The Company does not acquire ownership in such data. You grant us the necessary, non-exclusive and limited rights to host, process, transmit and store data to provide the Platform, ensure its security, and comply with law.

Candidates and Clients must not submit sensitive personal information (racial origin, political opinions, religious beliefs, health data, sexual orientation, etc.) unless permitted by law and appropriate lawful bases and measures are in place. Personal references listed on a resume must have consented to share their contact details.

For elements you voluntarily publish in public areas of the Platform (e.g., employer pages, company showcases, job media), you grant a worldwide, non-exclusive, royalty-free, transferable license to host, reproduce, display, adapt, publish and distribute such elements for as long as they are online and for the purpose of promoting the relevant job or page. This license does not apply to application data or personal data, which remain subject to the Privacy Policy and a license strictly limited to performing the Services.

6. Communications and Anti-Spam

Messages sent via the Platform must comply with applicable anti-spam and communications laws. The Client determines the lawful basis for contact and remains responsible for content, recipients and frequency. Unsubscribe mechanisms may be provided; using them does not relieve the Client of its obligations. Candidates must use forms and contact features solely to apply or engage about a job, not for promotional purposes.

6.1 Resume Database Use

Access to the resume database is strictly limited to sourcing candidates for real and specific roles. It is prohibited (i) to use it for general prospecting, marketing or mass messaging, (ii) to contact a candidate without a reasonable link to a defined role, or (iii) to circumvent a candidate's visibility or privacy preferences. We may limit views and outreach volume in case of abusive or non-compliant use.

7. Integrations, API and Third-Party Services

Nsania may connect to third-party services (job boards, SSO, calendars, video, testing, email delivery). Use of those services is governed by their own terms. We are not responsible for the content, practices or outages of such third parties. API keys and settings provided by the Client must be used lawfully and kept confidential.

The Client remains responsible for data transferred via integrations it activates (ATS, HRIS, XML feeds, etc.) and for the compliance of its own systems. Nsania provides the technical interconnection and assumes no obligation with respect to processing carried out by those third-party services.

8. Service Levels, Maintenance and Support

We aim for high availability. Planned or urgent maintenance may occur. In case of incident, we will use reasonable efforts to restore service and preserve data integrity. Unless contractually stated otherwise, no restoration timeframe is guaranteed. Support is provided according to the applicable plan.

9. Fees, Billing, Taxes and Term

Services are provided on a subscription or agreed-fee basis. Unless otherwise stated, fees are payable in advance, non-refundable, and subject to applicable taxes.

Subscriptions renew automatically under the same terms until cancelled. Annual plans billed monthly benefit from a preferential monthly rate and include a twelve-month (12) minimum commitment. Monthly plans without commitment renew each month and may be cancelled at any time before the next billing date. By subscribing, you authorize recurring billing through our secure payment processor, which handles card data and confidentiality.

10. Privacy, Data Protection and Security

We implement reasonable technical and organizational measures, including in-transit encryption, access controls and safeguards against unauthorized access. Processing of personal information is described in the Privacy Policy below. Our services are not intended for children under 16.

11. Export, Portability and Deletion

Data retention rules and export/deletion mechanisms are set out in the Privacy Policy. Subject to legal requirements and Client settings, export or deletion features are available. Copies already shared with employers or third parties are outside our control.

12. Artificial Intelligence Tools

The Platform includes AI features. Depending on the module, AI may be enabled by configuration or used natively. AI may produce errors, biases or approximations. We do not warrant accuracy, completeness or fitness for a particular purpose. Do not include sensitive data in prompts. Appropriate human review is required before any decision, notably one affecting an individual.

Nsania's AI features are intended solely to assist users (ranking, summaries, recommendations, interview question generation). The Platform does not make automated decisions producing legal or similarly significant effects. Users retain full responsibility and control over hiring decisions.

13. Match Scores and Percentages

Nsania may display match scores or percentages between a role and a profile. These values are estimates based on algorithms and may be influenced by the quality and completeness of information. They may change as algorithms evolve. Such scores are indicative only. No important decision should rely solely on them. Users must exercise their own judgment.

14. Intellectual Property

The Platform, its software components, interfaces, trademarks, logos and original content are protected by copyright and applicable laws. Unless expressly permitted, you may not copy, modify, redistribute, disassemble or create derivative works of the software.

Nsania and Isarta are trademarks of Isarta Inc. Other marks belong to their respective owners.

15. Links to Third-Party Sites

The Platform may contain links to third-party sites. Those sites are not under our control and we assume no responsibility for their content or practices. Use of such sites is governed by their own terms and policies.

16. Warranty and Limitation of Liability

The Platform and all related Services are provided "as is" and "as available". Unless expressly stated in writing, the Company makes no warranty, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

The Company implements reasonable technical and organizational measures to ensure the security and availability of the Platform, but does not warrant that it will be uninterrupted, error-free, or compatible with any particular configuration or system.

To the extent permitted by law, the Company's total cumulative liability to the Client for all claims arising out of or relating to Nsania shall not exceed the total amounts paid by the Client to the Company for the Services during the twelve (12) months preceding the event giving rise to liability.

The Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, or business interruption, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

16.1 Content Control, Suspension and Removal

Nsania has no general legal obligation to monitor the content or information transmitted through the Platform. Without being required to do so, the Company may, at its sole discretion, review certain content and remove any element that is illegal, threatening, defamatory, vulgar, or contrary to these Terms. We may suspend or restrict a user's access in case of breach.

16.2 Partner Services and Independence

Nsania cannot be held responsible for delays, interruptions, algorithm changes, indexing refusals or variations in display on partner platforms (job boards, search engines) which are independent of the Platform.

17. Termination

Each party may terminate in accordance with contractual terms. In case of a material breach not cured within a reasonable time after notice, the other party may suspend or terminate. Upon termination, access is discontinued. On request, a standard data export may be provided, subject to legal requirements and reasonable fees.

18. Indemnification

The Client will defend and indemnify the Company against any claim arising from non-compliant use of the Platform, unlawful content transmitted via Nsania, or violations of applicable laws attributable to the Client. Candidates remain responsible for the content they submit and warrant they have the right to share it.

19. Miscellaneous

The invalidity of a clause does not affect the others. Failure to exercise a right is not a waiver. Headings are for convenience only. In the event of a conflict between these Terms and a signed agreement with the Client, the latter prevails.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of Quebec, Canada, excluding conflict-of-law rules. Subject to any mandatory local law (e.g., where Candidates reside), the competent courts of Quebec have jurisdiction. The Platform targets reasonable global compliance (e.g., Law 25, GDPR, CCPA/CPRA) across served regions without prejudice to stricter local rules.

 


 

PRIVACY POLICY & PERSONAL INFORMATION PROTECTION - NSANIA

1. Controller and Scope

Isarta Inc. (the "Company"), owner of the Nsania brand, acts as a service provider for Clients using Nsania to manage their hiring. This Policy describes how we process personal information within the integrated Platform (ATS + job board).

2. Categories of Data

  • Candidate Data: identity and contact details, resume and attachments, answers to questions, evaluations, messages, availability, interaction history.
  • User (Client) Data: identity, role, internal comments and activities related to recruiting.
  • Technical data as needed: IP addresses, device identifiers, strictly necessary cookies or non-profiling audience measurement cookies.

3. Purposes and Legal Bases

Personal information is collected and used only when necessary for the purposes for which it was obtained, including:

  • With your consent, for example when you complete an application form, create an account, or voluntarily share information through the Platform.
  • For the performance of a contract entered into with a Client (employer) or with Nsania, such as creating and managing a user account, posting jobs, or managing a recruitment process.
  • To comply with legal or regulatory obligations, such as maintaining processing records or responding to lawful authority requests.
  • Where required by our legitimate interests, for example to ensure the security and performance of the Platform, prevent misuse, produce anonymized statistics, or deliver the requested service.

We may also collect certain information indirectly, including through our job distribution partners, your interactions with the Platform or our communications, or from public or professional sources where permitted by law.

4. Sharing and Recipients

We may share data with processors acting under our instructions and providing adequate safeguards (hosting, email delivery, SSO, non-profiling analytics, payment). Some may be located outside your jurisdiction. We may also share data where required by law, to protect our rights, or in connection with a corporate transaction, subject to appropriate safeguards.

5. Security

We implement reasonable technical and organizational measures, such as in-transit encryption and role-based access controls, to protect personal information against destruction, loss, alteration or unauthorized access. No measure eliminates risk entirely; users must also apply good practices (strong passwords, access management).

6. Retention

  • Applications: available to recruiters for no longer than 24 months after the job closes.
  • Profiles in resume database: visible up to 24 months after the candidate's last activity.
  • Inactive candidate accounts: deactivation or deletion after a period of prolonged inactivity, subject to legal requirements.

Candidates may update or delete their content and account in their personal space, or exercise their rights by contacting us. Copies already shared by employers may remain in their systems under their responsibility.

7. Your Rights

Depending on jurisdiction (e.g., EU/GDPR, U.S./CCPA-CPRA, Quebec/Law 25), you may have rights of access, rectification, deletion, restriction, portability and objection. Requests concerning data processed on behalf of a Client (employer) should be addressed to that Client; we will assist the Client as needed. For general questions: dpo@isarta.com.

8. AI Tools

AI modules process user-provided content to generate suggestions or estimates. Depending on the module, AI may be enabled by configuration or used natively. Avoid including sensitive data. Outputs may be inaccurate or biased; human review is required before any decision affecting an individual.

These processes do not involve automated decision-making producing legal or similarly significant effects under applicable laws. No personal data are used to train or improve third-party AI models.

9. Integrations and International Transfers

Where data are transferred outside your jurisdiction, we implement appropriate safeguards where required by law (e.g., standard contractual clauses and supplementary measures).

In case of integrations with third-party systems (ATS, HRIS, XML feeds, etc.), data transfers follow the parameters defined by the Client, who retains control. Nsania does not collect or retain additional data beyond what is necessary for the integration to function.

10. Changes

We may update this Policy. Material changes will be announced on the Platform. Continued use constitutes acceptance.
